Restaurant franchise agreement-এ কোন brand right/system/support পাওয়া যাবে, কী pay করতে হবে, কোন standard এবং কীভাবে exit তা exact লিখতে হবে। Brochure বা verbal territory promise agreement নয়।

Brand/territory/channel
Exact trademark, name, asset, outlet ও exclusivity define। Cloud kitchen, kiosk, supermarket ও online territory-তে কি না লিখুন।
Social page, phone, domain, listing, photo ও customer data term-এর সময়/পরে কার তা লিখুন।
Money
Initial/recurring fee, base, tax, date, audit, penalty/currency লিখুন। Discount/refund/deliveryসহ worked example attach।
Fit-out change, equipment, training, marketing, tech ও campaign কে pay করবে।
Operating control
Manual/change limit, quality, safety, supplier, menu/price, training, hour, insurance ও incident owner।
Brand standard local law বা safety ভাঙবে না।

Clause-to-operation map তৈরি করুন
Restaurant franchise agreement actual party ও jurisdiction-এর জন্য qualified counsel review করবেন। এই checklist clauseকে restaurant operation-এর সঙ্গে যুক্ত করতে সাহায্য করে; legal advice নয়। Obligation, responsible party, due date, evidence, remedy এবং termination-এর পরে survive করে কি না—matrix বানান।

Legal party, authority ও guarantee
Franchisor, franchisee, guarantor, property tenant ও operating entity-এর exact legal identity দেখুন। Signatory authority এবং required corporate approval qualified review নিন। Brand marketing name legal party নাও হতে পারে।
Personal guarantee, security, deposit বা indemnity থাকলে scope, duration, cap if any, trigger ও release condition counsel দিয়ে বুঝুন। Generic checklist ঝুঁকি নির্ধারণ করতে পারে না।
Notice address, email ও authorized recipient business-controlled রাখুন। Party or address change agreement mechanism অনুযায়ী update করুন।
Territory, site ও channel rights
Territory map, boundary, exception, exclusivity, protected channel ও performance condition attachmentে রাখুন। Delivery, online order, marketplace, cloud kitchen or other format territoryকে কীভাবে প্রভাবিত করে clause review করুন।
Site approval, relocation, renovation, landlord consent ও lease relationship দেখুন। Franchise term lease term-এর সঙ্গে না মিললে renewal or exit risk তৈরি হতে পারে।
Franchisor another brand, format বা corporate outlet খুলতে পারেন কি না applicable clause বুঝুন। Sales statement বা verbal territory promise map replace করে না।
Fee ও commercial worked example
Sample month ও basket দিয়ে percentage, fixed fee, minimum, marketing contribution, technology charge, required purchase, discount funding, tax treatment ও late adjustment calculate করুন। Agreement definition ব্যবহার করুন; actual sales claim নয়।
Low, base ও high scenario rent, labour, food, packaging ও working-capital timingসহ চালান। Assumption planning estimate হিসেবে label করুন। Counsel ও finance adviser wording or treatment conflict resolve করবেন।
Gross sales, net sales, tax, refund, discount, marketplace sale বা complimentary item fee base-এ কীভাবে যায় exact definition থেকে নিন। Universal royalty or commission rate নয়।
Supply, quality ও change control
Mandatory supplier, approved alternative, ingredient specification, order minimum, price update, delivery, shortage ও emergency substitution process দেখুন। Brand standard ও local availability conflict হলে written route দরকার।
Supply price change কে notify করেন, effective date কী এবং dispute or alternative right আছে কি না review করুন। Required purchase budget ও working capital প্রভাবিত করে।
Food safety, receiving ও quality responsibility agreement এবং applicable policy অনুযায়ী assign করুন। Software record compliance guarantee নয়।
Brand standard, menu ও price control
Operating manual কে update করতে পারেন, notice কীভাবে হয় এবং implementation cost কে বহন করেন দেখুন। Manual update negotiated legal right silently replace করতে পারে কি না agreement change mechanism counsel review করবেন।
Menu, recipe, portion, supplier, price, promotion, packaging, design ও local adaptation কে approve করেন লিখুন। Emergency availability বা local legal requirement-এর route রাখুন।
Bangla translation ও local customer communication brand approvalে কীভাবে যায় দেখুন। Unverified health, origin বা superlative claim ব্যবহার করবেন না।
Technology, customer ও operational data
POS, online ordering, marketplace, CRM ও accounting account কে control করেন, item/customer/employee/financial data কে access করেন, cyber incident কে handle করেন এবং transfer or exit-এ কী export পাওয়া যায়—চিহ্নিত করুন। Local payment ও bilingual operation test করুন।
Franchisor reporting right unrestricted personal data access automatically justify করে না। Purpose, minimum field, retention, security, processor ও response responsibility legal reviewে define করুন।
Required vendor, recurring license, hardware, integration, upgrade ও failure cost কে pay করেন লিখুন। Rosuii বা অন্য system-এর current plan and pricing exact source থেকে নিন।
Support, training ও audit rights
Opening support, training, field visit, marketing, supply support ও ongoing consultation-এর deliverable, schedule, cost ও escalation route লিখুন। Generic best efforts phrase practical plan নয়।
Audit or inspection scope, notice, data, cost, remediation ও confidentiality counsel review করবেন। Operations team required record prepared রাখবে, কিন্তু personal data minimum করবে।
Training attendance competence proof নয়। Role-based task ও current manual version দিয়ে staff acceptance verify করুন।
Default, cure ও dispute
Default event, notice method, cure period, immediate consequence, suspension or termination trigger clause timeline-এ map করুন। Informal waiver ধরে নেবেন না; legal advice নিন।
Dispute escalation, governing law, forum, mediation or arbitration if specified, interim operation ও cost qualified counsel ব্যাখ্যা করবেন। Generic article enforceability নির্ধারণ করতে পারে না।
Notice registerে sender, recipient, clause, delivery method, date, response deadline ও assigned adviser রাখুন। Missed email critical right হারাতে পারে।
Renewal, transfer ও exit
Renewal notice, condition, refurbishment, fee, new agreement requirement ও negotiation timing calendarে রাখুন। Deadline অনেক আগে review করুন।
Transfer approval, buyer qualification, fee, training, lease, employee, supplier ও data consequence map করুন। Sale of business automatic franchise transfer নয়।
Terminationে de-branding, signage, inventory, customer data, account, technology export, confidentiality, non-compete if any এবং continuing payment duty legal reviewে নিন। Exit cost budgetে রাখুন।
Signing ও post-sign control
Signing-এর পরে amendment ও notice same controlে রাখুন। Full confidential agreement অপ্রয়োজনে circulate না করে operations teamকে actionable summary দিন।
Recurring obligation due date-এর আগে review এবং invoice signed basis-এর সঙ্গে reconcile করুন। Informal waiver-এর ওপর নির্ভর না করে evidence ও advice নিন।
