Trade License Renewal Bangladesh: Yearly Restaurant Licence Checklist
A practical yearly calendar for renewing restaurant trade, food, fire, signboard and environment permits while keeping VAT filings on schedule.

Trade license renewal Bangladesh compliance should not be treated as a once-a-year visit to the city corporation. A restaurant may have several certificates, permits and recurring tax obligations, each managed by a different authority. Missing one can create trouble during an inspection, delay another application or expose the business to fines and closure risk.
The safest approach is to build a renewal calendar around the exact dates printed on your certificates. Rules, forms, fees and payment methods can change. Before submitting anything, confirm the current requirements with the issuing authority, your city corporation or municipality, and the NBR e-services portal where relevant. This checklist is a planning guide, not a substitute for official instructions or professional legal and tax advice.
Why restaurant licence renewals need a calendar
There is no single renewal date covering every restaurant approval in Bangladesh. A trade licence may follow the local authority's financial-year cycle, while a fire licence or food business certificate may run from its own issue date. VAT returns are recurring filings rather than annual licence renewals. Signboard charges may be collected with the trade licence in one area and handled separately in another.
A calendar prevents these different obligations from being mixed together. It also gives you time to collect rent documents, tax receipts, inspection records, photographs, previous certificates and other supporting papers before a deadline arrives.
For each approval, record five items:
- Issuing authority: The office or online portal responsible for the approval.
- Certificate number: Keep the number exactly as printed.
- Issue and expiry dates: Do not rely on memory or assumptions about the financial year.
- Preparation date: Set this 30 to 90 days before expiry, depending on the approval.
- Responsible person: Name the owner, manager, accountant or consultant who must complete the work.
Trade license renewal Bangladesh: the main annual task
A restaurant's trade licence is normally issued by its city corporation, municipality or other relevant local government authority. Renewal is generally required periodically, commonly each year, but the exact cycle, grace period, surcharge and document list depend on the authority.
Start checking the renewal process before the existing licence expires. Confirm whether the authority requires the original or a copy of the previous licence, proof of rent or ownership, tax identification details, identity documents, signboard information, photographs, payment receipts or updated business details. If the restaurant has changed its name, address, ownership, floor area or business activity, ask whether an amendment is required instead of a routine renewal.
Do not treat an old payment receipt as proof that the current licence is valid. Keep the renewed certificate and verify that the business name, address, nature of business and validity period are correct. Our detailed guide to getting and maintaining a restaurant trade licence in Bangladesh explains the supporting documents and common application mistakes.
Your restaurant renewal calendar at a glance
| Obligation | Typical planning cycle | What to check |
|---|---|---|
| Trade licence | Review annually and begin 30 to 60 days before expiry | Local authority rules, business details, signboard assessment, arrears and surcharge |
| Food business licence or registration | Review the certificate at least 60 days before its printed expiry | Correct operator, premises, food activity, validity and inspection requirements |
| Fire licence or fire safety approval | Usually requires periodic renewal; use the date on the certificate | Equipment servicing, layout, exits, occupancy and inspection conditions |
| VAT and BIN compliance | Check monthly, not just once a year | Return deadline, sales records, VAT invoices, applicable rates and payment |
| Signboard permission or tax | Review with the trade licence and whenever signage changes | Size, location, language, lighting, number of signs and local assessment |
| Environment clearance | Only where applicable; follow the certificate's validity | Business category, generator, emissions, wastewater, waste and renewal conditions |
This table is deliberately approximate. The printed certificate and the latest instruction from the issuing authority should always control your actual deadline.
Food licence or food business registration
Restaurants must pay close attention to food safety approvals applicable to their activity and location. Depending on the current regulatory process, this may involve a food business licence, registration, enlistment or another certificate issued or recognised by the relevant food safety authority. Do not assume that a trade licence alone covers food safety compliance.
Check the exact expiry date and renewal instructions on the certificate. Before renewal, review whether the registered operator, outlet address, kitchen arrangement and type of food activity still match the business. An authority may also examine hygiene, food storage, pest control, employee practices, water safety or other conditions during an inspection.
Keep copies of the current certificate at the restaurant and in a secure digital folder. If you run multiple branches, track each premises separately because one outlet's certificate may not automatically cover another. Fire licence and ongoing fire safety
A fire licence or other fire safety approval should never become a paper-only exercise. Restaurants contain cooking flames, hot oil, gas or electrical equipment, and customers may be seated in enclosed areas. Renewal preparation should include a physical safety review rather than simply paying a fee.
Confirm the validity period shown on the approval issued by the Fire Service and Civil Defence or other competent authority. Check whether the renewal requires an inspection, application form, treasury payment, floor plan, trade licence, rent agreement, equipment records or other supporting documents. Requirements vary with the building and operation.
Before an inspection, make sure exits are usable, escape routes are not blocked by stock or furniture, extinguishers are accessible and within their service period, electrical panels are not obstructed, and staff know whom to call during an emergency. If the restaurant has changed its layout, kitchen fuel system, seating capacity or floor, ask the authority whether revised approval is needed.
VAT and BIN: filings are not an annual renewal
A Business Identification Number, or BIN, should not be placed on the calendar as if it were simply renewed once a year. The important task is maintaining the registration correctly and completing the VAT returns, payments, invoices and records required for your restaurant's status.
VAT-registered businesses generally have recurring return obligations, commonly monthly, including periods with no transactions where a return is still required. Deadlines, forms, applicable VAT treatment and submission rules can change or depend on the business. Confirm the current position through the official NBR e-services or VAT online portal and with a qualified VAT professional.
Create a monthly process that closes sales records, checks discounts and service charges, reconciles payment methods, reviews purchases and preserves invoices. Rosuii can record restaurant sales, VAT and service-charge breakdowns and export reports, but the restaurant remains responsible for checking the figures and filing the correct statutory return. Use our Bangladesh restaurant tax compliance checklist to organise the supporting records.
Signboard permission, tax and local charges
Restaurant owners often discover signboard issues when renewing the trade licence. A city corporation or municipality may assess signboard tax or require permission based on the board's size, location, lighting or other characteristics. The process is not identical everywhere.
Review signboard details annually and whenever you replace, enlarge or add a board. Keep photographs, measurements and payment receipts if requested. If your restaurant operates inside a shopping centre or rented building, obtain the landlord's or management authority's approval where necessary. Confirm the latest assessment and payment process directly with the local authority rather than relying on another restaurant's fee.
Environment clearance and location-specific permits
Not every restaurant will have the same environmental approval requirement. The need for an environment clearance certificate or related permission can depend on the nature and scale of the operation, the premises, waste handling, generator use, emissions, wastewater and the category assigned by the Department of Environment.
If an environmental certificate has been issued, follow its printed validity and renewal conditions. Keep records relating to waste disposal, grease management, generator operation or other conditions imposed on the premises. A change in capacity, equipment or location may require a fresh review instead of a normal renewal.
Other location-specific approvals may also apply, including permissions from a market authority, shopping centre, cantonment board, development authority or landlord. Make a separate entry for each one. Do not label them all as a trade licence.
What happens when a restaurant licence lapses?
The consequences depend on the law, authority and length of the delay. A late renewal may lead to a surcharge, penalty, inspection objection or requirement to clear arrears. More serious non-compliance can create suspension or closure risk. It may also cause practical business problems even before formal enforcement occurs.
- A current certificate may be requested during a mobile court or regulatory inspection.
- A landlord, bank, payment provider, marketplace or corporate customer may ask for valid business documents.
- Another licence application may depend on an up-to-date trade licence.
- Incorrect VAT filings can lead to interest, penalties, assessments or document queries.
- A lapsed fire approval can expose customers, staff and the owner to avoidable safety and legal risk.
If a deadline has already passed, contact the issuing authority promptly. Do not alter a certificate, reuse an old payment slip or display an expired document as if it were current. Ask for the official late-renewal process and retain proof of every submission and payment.
A simple reminder system that works
You do not need expensive compliance software to build a dependable system. Start with a shared spreadsheet and a calendar that the owner, branch manager and accountant can access.
- Create one row per approval per branch. Include authority, certificate number, expiry, responsible person, status and document link.
- Set three reminders. Use alerts 90 days, 60 days and 30 days before expiry. Add a final weekly reminder until the renewed certificate is received.
- Keep a renewal folder. Store the previous certificate, application, official receipt and new certificate together. Use clear filenames with the branch and year.
- Review compliance monthly. Add a 15-minute check to the management meeting. Monthly review is especially important for VAT filings.
- Record the cost properly. Enter official renewal payments and professional fees as business expenses, with receipts. Never mix unofficial payments into the process.
- Verify completion. A submitted application is not the same as an issued renewal. Record the new expiry date only after receiving and checking the certificate.
Rosuii helps restaurant teams keep sales, expenses, VAT and service-charge breakdowns, branches and reports organised in one cloud platform. Better operating records make compliance preparation easier, but official filings and renewals must still be completed with the relevant authorities.
Final checks before you submit
- Confirm current forms, fees and payment channels with the city corporation, municipality, NBR e-services portal or relevant issuing authority.
- Check that the restaurant's legal name, trading name, address and ownership details are consistent across documents.
- Do not present an estimated fee as final. Rates and surcharges can change.
- Keep official receipts and acknowledgement copies for every submission.
- Track each branch separately and investigate whether a head-office approval covers branch premises.
- Ask a qualified lawyer, tax adviser or licensing professional when ownership, location or business activity has changed.
A small amount of planning can prevent a rushed renewal, an avoidable fine or an uncomfortable inspection. Put the dates in your calendar now, assign a responsible person and review the list every month.
