Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Rosuii ("Rosuii", "we", "us" or "our") and govern your access to and use of rosuii.com, the Rosuii control panel, restaurant storefronts and all related services (collectively, the "Service"). Rosuii is a multi-tenant Software-as-a-Service platform operated from Bangladesh that provides each restaurant ("tenant") with its own subdomain and isolated database. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Acceptance of terms

By accessing or using the Service, you confirm that you have read, understood and agree to be bound by these Terms and our Privacy Policy. If you accept these Terms on behalf of a business, you represent that you are authorised to bind that business, and "you" refers to that business.

2. Description of service

Rosuii provides cloud-based restaurant management tools, which may include point-of-sale, online ordering and storefronts, menu and category management, inventory and supplier management, staff and payroll, expenses, customer relationship features and analytics. Each tenant receives a dedicated subdomain and a logically isolated database. We may add, modify or discontinue features from time to time.

3. Eligibility & accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your account credentials, and for all activity that occurs under your account. 4. Subscriptions, billing & payment

The Service is offered on a subscription basis. Fees are billed in Bangladeshi Taka (BDT) on a monthly cycle, with no setup fee. Unless otherwise stated, subscriptions automatically renew each month until cancelled.

• Auto-renewal & cancellation: You may cancel at any time from your account. Cancellation takes effect at the end of the current billing period; you retain access until then, and your subscription will not renew thereafter.
• Refunds: Except where required by applicable law, fees already paid are non-refundable, and we do not provide refunds or credits for partial months or unused periods.
• Price changes: We may change subscription prices; we will give reasonable advance notice, and changes apply from your next billing cycle.
• Taxes: Fees are exclusive of any applicable taxes, levies or duties, which are your responsibility unless stated otherwise.
• Non-payment: If a charge fails or an account is past due, we may suspend or limit access until payment is received.

5. Free trial

We may offer a free trial or introductory plan. Trials are provided "as is" and may be modified or withdrawn at any time. Unless you cancel before the trial ends, your account may convert to a paid monthly subscription and the applicable fee will be charged. Trial eligibility and limits are described at sign-up.

6. Acceptable use policy

You agree not to, and not to permit others to:

• Use the Service for any unlawful, fraudulent or harmful purpose;
• Upload or distribute malware, or attempt to gain unauthorised access to any system, account or tenant;
• Interfere with, disrupt, overload or probe the Service or its infrastructure;
• Reverse engineer, decompile or copy the Service except as permitted by law;
• Resell, sublicense or provide the Service to third parties without our authorisation;
• Infringe the intellectual property, privacy or other rights of others;
• Upload content that is illegal, obscene, defamatory or otherwise objectionable.

7. Tenant content & data ownership

You retain all ownership of the data and content you submit to the Service ("Tenant Content"), including menus, prices, inventory, staff records and diner data stored in your workspace. You grant Rosuii a limited licence to host, process, transmit and display Tenant Content solely to provide and improve the Service and as instructed by you. You are responsible for the legality and accuracy of your Tenant Content and for maintaining your own backups where appropriate.

8. End-diner data & your responsibilities

When you use the Service to collect information about your diners (such as names, contact details, addresses and orders), you are the data controller of that information and Rosuii acts as your processor. You are responsible for providing any required privacy notices to your diners, obtaining any necessary consents, and complying with applicable data-protection and consumer laws. You must not use the Service to collect data in violation of law or the rights of your diners.

9. Payment processing & third-party gateways

Payments are processed by third-party gateways including bKash, Nagad and licensed card processors. Your use of those gateways is subject to their terms and privacy policies. Rosuii does not store raw card numbers, CVV codes or full wallet credentials. We are not responsible for the acts, omissions, availability or fees of any payment gateway, and gateway processing is provided on an "as is" basis by the relevant provider.

10. Service availability & support

We strive to keep the Service available and reliable, but it is provided on a commercially reasonable-efforts basis and may be subject to downtime for maintenance, updates or circumstances beyond our control. We do not guarantee uninterrupted or error-free operation unless a separate service-level agreement states otherwise. Standard support is available at [email protected].

11. Intellectual property

The Service, including its software, design, logos, trademarks and content (excluding Tenant Content), is owned by Rosuii or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms. All rights not expressly granted are reserved. "Rosuii" and our logos may not be used without our prior written permission.

12. Suspension & termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, fail to pay fees, or if we reasonably believe your use poses a security, legal or operational risk. Upon termination, your right to use the Service ceases. We may make Tenant Content available for export for a limited period after termination, after which it may be permanently deleted in line with our data-retention practices.

13. Disclaimers & warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any data will be accurate or never lost.

14. Limitation of liability

To the maximum extent permitted by law, Rosuii and its directors, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business, arising out of or related to your use of (or inability to use) the Service. Our total aggregate liability for any claim relating to the Service will not exceed the total subscription fees you paid to Rosuii in the three (3) months immediately preceding the event giving rise to the claim.

15. Indemnification

You agree to indemnify, defend and hold harmless Rosuii and its affiliates from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or related to your Tenant Content, your use of the Service, your handling of diner data, or your violation of these Terms or applicable law.

16. Governing law & disputes

These Terms are governed by and construed in accordance with the laws of Bangladesh, without regard to conflict-of-law principles. You agree that the courts located in Bangladesh shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, subject to any mandatory consumer-protection rights you may have under applicable law.

17. Changes to terms

We may update these Terms from time to time. When we make material changes, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.
